Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern your use of uprisingmusicgroup.com (the “Site”), operated by Uprising Music Group LLC (“Uprising Music Group,” “we,” “us”). By using the Site you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.
2. Eligibility
You must be at least 13 years old to use the Site, and at least 18 (or the age of majority where you live) to sign up for text messages or enter into any agreement with us.
3. Our content and trademarks
All music, sound recordings, compositions, videos, artwork, photographs, text, logos and other material on the Site are owned by or licensed to Uprising Music Group or our artists and are protected by copyright, trademark and other laws. “Uprising Music Group,” the UP logo and related marks are our trademarks.
You may stream and view content on the Site for personal, non-commercial use. You may not copy, download (except where we offer a download), reproduce, distribute, sample, remix, synchronize, publicly perform or otherwise use our content without our written permission.
4. Licensing requests
Information on the Site about sync and licensing is an invitation to inquire, not an offer or grant of rights. No license is granted until both parties sign a written license agreement and any required fees are paid.
5. Submissions and demos
If you send us music, demos, ideas or other materials (“Submissions”), you confirm that you own or control all rights in them and that they do not infringe anyone else’s rights. Submissions are unsolicited unless we asked for them in writing. We are not obligated to review, respond to, keep confidential or return any Submission, and we do not owe you compensation for it. We and our artists work on many projects, and you agree that material similar to your Submission may be developed independently without any obligation to you.
6. Email and text programs
If you join our email or text list, you agree to receive messages from us as described when you signed up. Text messages are also governed by our SMS Terms. You can opt out at any time.
7. Acceptable use
You agree not to: use the Site for any unlawful purpose; submit false information; send spam or malicious code; try to gain unauthorized access to the Site or our systems; scrape or copy the Site in bulk; or interfere with the Site’s operation.
8. Third-party services
The Site links to and embeds third-party services such as Spotify, Apple Music, YouTube, TikTok, Instagram and pre-save platforms. We are not responsible for their content, availability or practices, and your use of them is governed by their terms.
9. Copyright complaints
If you believe material on the Site infringes your copyright, email [email protected] with: a description of the work, the location of the material on the Site, your contact information, a statement that you have a good-faith belief the use is not authorized, a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for the owner, and your physical or electronic signature.
10. Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, UPRISING MUSIC GROUP AND ITS OWNERS, ARTISTS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
12. Indemnity
You agree to defend, indemnify and hold harmless Uprising Music Group and its owners, artists, employees and agents from any claims, losses and expenses (including reasonable attorneys’ fees) arising from your Submissions, your misuse of the Site, or your violation of these Terms.
13. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Bronx County, New York, and you consent to their jurisdiction.
14. Changes
We may update these Terms at any time by posting a new version on the Site. The “Effective date” above shows when they last changed. Continued use of the Site means you accept the updated Terms.
